Summary of the Role
We are seeking a Senior Corporate Paralegal with over 5 years of experience to provide comprehensive support to our legal team, assisting with corporate governance, regulatory compliance, and various legal and administrative duties. The ideal candidate will be highly organized, detail-oriented, and proactive in handling a broad range of corporate legal matters.

Qualifications
Bachelor's degree in Legal Studies, Business Administration, or a related field.
Certified Paralegal (CP) or Certified Legal Assistant (CLA) credential is preferred.
Minimum of 5 years of paralegal experience, preferably in a corporate legal department or law firm.
Strong understanding of corporate structure and governance.
Familiarity with federal and state corporate regulatory and filing requirements.
Experience with corporate transactions and mergers and acquisitions.
Responsibilities
Assist attorneys with corporate governance issues and the administration of corporate formalities.
Prepare and file various legal documents, including articles of incorporation, corporate resolutions, and annual reports.
Maintain corporate minute books and other corporate records.
Assist with transactional matters including due diligence reviews and closing preparations.
Perform legal research on corporate law issues and draft memos or reports for attorneys.
Coordinate with external regulatory bodies and ensure compliance with all applicable laws and regulations.
Support the management of corporate compliance programs and policies.
Assist in the preparation and filing of UCC financing statements and manage corporate databases.
